Checkout Terms & Attestation Agreement
1. Parties and scope
Celara Life, LLC, a Wyoming limited liability company ("Seller"), sells laboratory research materials (the "Materials"). "Buyer" is the organization placing the order (the "Order") — a business, laboratory, academic institution, or other organizational purchaser. The individual completing checkout represents that they are authorized to bind Buyer to this Checkout Terms & Attestation Agreement (this "Agreement"). This Agreement governs the purchase of Materials in the Order. Website access and browsing are governed separately by the Site Entry Terms & Acknowledgments.
2. Research Use Only
All Materials are sold solely for legitimate in-vitro laboratory research. Materials are not foods, drugs, cosmetics, medical devices, or dietary supplements, and no regulatory approval for any other use has been obtained. Materials are not for human consumption, administration, or injection; not for clinical, diagnostic, or therapeutic use; not for veterinary use; and not for household or other consumer use. Buyer is solely responsible for compliance with all laws, regulations, institutional policies, and safety requirements applicable to Buyer's receipt, storage, handling, use, and disposal of the Materials.
3. Buyer attestations
Buyer makes each of the following attestations as of the time the Order is placed:
a. Age 21 or older. The individual completing checkout is at least twenty-one (21) years old.
b. Research-use-only purchase. Every product in the Order is being purchased solely for legitimate laboratory research and is not for human consumption, administration, or any clinical/household use.
c. Experienced researcher. The individual completing checkout is an experienced researcher, or is acting under the direct authority and supervision of an experienced researcher, with the training, qualifications, facilities, and procedures appropriate for the materials ordered.
d. Business-to-business / institutional transaction only. The Order is placed solely by or for a business, laboratory, academic institution, or other organizational purchaser. It is not placed for personal, family, household, or other consumer purposes.
e. Legally authorized receipt. The Buyer is legally authorized to purchase and receive the Materials in the jurisdiction where they will be received, possessed, and used, and the purchase does not violate applicable law.
4. Assent
By checking the confirmation below and placing your order, you agree to the Checkout Terms & Attestation Agreement on behalf of your organization.
Buyer's affirmative confirmation, together with submission of the Order, constitutes Buyer's electronic signature to this Agreement. Seller may retain a hashed record of this Agreement, the attestations, and related order metadata as evidence of assent.
5. No warranties
The Materials are provided "as is" for research use. Seller disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty of suitability for human, clinical, veterinary, diagnostic, or therapeutic use. Seller makes no claim that any Material diagnoses, treats, cures, or prevents any disease or condition.
6. Limitation of liability
To the maximum extent permitted by law, Seller's total liability arising out of or relating to the Order or the Materials will not exceed the amount Buyer paid for the Materials giving rise to the claim. Seller is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, regardless of the theory of liability. Buyer assumes all risk of any use of the Materials outside legitimate in-vitro laboratory research and will indemnify Seller against claims arising from such use.
7. Governing law
This Agreement is governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Wyoming, and each party consents to that jurisdiction.
